1Acceptance of this Agreement

By creating a Seller account, listing a product, or fulfilling an order on Arbsbuy Pakistan, you confirm that you have read, understood and agree to be bound by this Agreement and all policies it references. If you are entering into this Agreement on behalf of a business, you confirm that you are authorised to bind that business.

Arbsbuy Pakistan records your acceptance permanently: the version number, the exact text of the document you accepted, its SHA-256 fingerprint, the date and time, your IP address and your browser. Nothing in that record is ever edited afterwards. When we publish a new version of the Seller terms you are asked to accept it the next time you open your Seller Center. Your storefront keeps trading throughout — accepting takes one tick.

2Definitions

• "Platform" — the Arbsbuy Pakistan website, mobile app and Seller Center.
• "Seller" / "you" — any person or business that lists or sells products on the Platform.
• "Buyer" — any user who purchases or intends to purchase your products.
• "Product" — any item you list for sale.
• "Order" — a Buyer's confirmed purchase of a Product.
• "Commission" — the fee Arbsbuy Pakistan charges on each completed Order (see Section 6).
• "Seller Center" — your dashboard for managing products, orders, earnings and payouts.

3Relationship of the Parties

You and Arbsbuy Pakistan are independent parties. Nothing in this Agreement creates any employment, agency, partnership, joint venture or franchise relationship between us. Arbsbuy Pakistan acts only as an online marketplace and intermediary that connects you with Buyers; it is not the seller of your Products and is not a party to the contract of sale between you and the Buyer. You have no authority to bind Arbsbuy Pakistan or to act or make representations on its behalf.

4Eligibility & Seller Account

• You must be at least 18 years old and legally able to enter into a contract in Pakistan.
• You must provide true and complete information, including a valid CNIC, contact details, and bank account or mobile-wallet details for payouts.
• You are responsible for the security of your account and for all activity under it.
• You must keep your store information, stock and pricing accurate and up to date.

Arbsbuy Pakistan may verify your identity and details, and may approve, refuse, suspend or close any Seller account at its discretion.

5Your Store & Product Listings

You are solely responsible for your store and every product you list. You represent and warrant that:

• You have the legal right to sell each product, and the products are genuine, lawful, safe and not counterfeit, stolen or prohibited.
• Your titles, descriptions, images, videos, prices and stock levels are accurate and not misleading.
• Your listings do not infringe any third party's intellectual property or other rights.
• You comply with all applicable laws, standards and regulations of Pakistan.

Your store name must be your own

One store name, one store. Names are compared with spacing, punctuation and capital letters ignored, so "Karachi Gadget Hub", "karachi-gadget-hub" and "KarachiGadgetHub!!" are the same name and only one store can hold it. If the name you want is taken the system offers you a free one close to it. The same rule applies to your store web address.

Protected brands and proof of authenticity

Arbsbuy Pakistan keeps a list of protected brands. If the title or brand field of a listing names one of them, the listing cannot go live until you have uploaded proof that you are entitled to sell it — an authorisation letter, a distributor certificate or a purchase invoice — and an administrator has approved it. Until then the product is saved as a draft; it is not deleted and nothing already live is taken down because of this rule. An approval covers the brand it was given for only: naming a different protected brand needs fresh evidence. If your documents are rejected you are told why and can upload new ones. Some brands are scoped to a category, so the check only fires in that category.

Phone, laptop, tablet, camera, console and similar categories are treated as serial-numbered goods and may be asked for the unit's serial or IMEI. Selling a counterfeit, a replica or a treated or synthetic item described as genuine is a serious breach and ends in removal of the listings, forfeiture of the related earnings and, on repetition, closure of the store.

6Commission, Fees & Deductions

6.1 Commission

Commission is a percentage of the sale value of every completed order. Your rate is set on your own account and is always shown in your Seller Center — rely on the figure there rather than one quoted elsewhere. Your rate normally comes from your seller plan. At present there is one plan:

• Free — no monthly fee, 7% commission, unlimited products.

A seller who has never chosen a plan is on the Free plan. Arbsbuy Pakistan may also set an individual commission rate or product allowance on a particular account, which then applies instead of the plan figure. Commission is calculated on the actual price the buyer pays after any discount. We may revise plans or rates in future with advance notice; changes apply only to orders placed after the effective date.

6.2 Delivery shortfall

The buyer pays a delivery charge based on the parcel weight. Whatever the courier bills us beyond that for your parcel — fuel surcharge, tax, and cash-handling on Cash on Delivery — is deducted from your earnings for that order. So keep your parcel data honest: delivery is billed on the greater of the actual weight and the volumetric weight (length × width × height in cm, divided by 5,000), and weight and box dimensions are required on every product you list.

Where Arbsbuy Pakistan chooses to give buyers free or discounted shipping as its own promotion, we absorb that cost — it is not passed on to you.

6.3 Promoted listings (pay per click)

Promoted listings are optional and you control the spend. You set a daily budget between Rs 50 and Rs 3,000 and what one click is worth to you, a cost per click between Rs 2 and Rs 50. You are charged only when a shopper actually clicks your listing — never for it merely being shown — and never more than the daily budget you set, even on the last click of the day. The same shopper clicking the same campaign again within an hour is not charged twice. Each day's click spend is deducted from your earnings the following night.

6.4 Featured placement

Featured placement costs Rs 50 per day, with a minimum spend of Rs 500 per run — so the shortest run you can buy is 10 days — up to a maximum of 30 days. You may have at most 3 featured products at a time. If you stop a run early, the remaining days are not refunded, so choose the length deliberately.

6.5 Monthly promotion plans

These are subscription placements, billed every month until you cancel:

• Spotlight — Rs 1,500 per month, one product in the Sponsored rail on the homepage.
• Spotlight Plus — Rs 4,000 per month, three products in the Sponsored rail.
• Featured Shelf — Rs 2,500 per month, one product in the Featured rail.

Cancel from Seller Center when you no longer want the placement.

6.6 Refunds, returns and cancellations

If an order is cancelled, refunded or returned, the earnings on it are reversed and do not reach you. Where a return results from your error or a misrepresented item, you also bear the return shipping cost.

6.7 If you disagree with a deduction

There is no fixed appeal procedure. Raise it with seller support quoting the order or campaign reference and we will review it case by case and correct anything that is wrong.

Plan and promotion charges

Your commission rate follows your Seller plan — currently the Free plan at 7% — unless Arbsbuy Pakistan has set a different rate on your account, and the rate that applies is always shown in your Seller Center. Plan upgrades are paid by bank transfer with a receipt uploaded for our team to verify; the plan starts once the payment is approved. Monthly promotion plans are charged against your Seller earnings, automatically, on the day each month that the placement renews — we do not invoice you and we never ask for a card. You can stop a promotion plan from your Seller Center before the next charge date.

7Payouts, Holds & Set-off

Buyer payments — including Cash on Delivery collected by the courier — are received by Arbsbuy Pakistan first. Your earnings on each order are the sale value less commission and the deductions in Section 6, and they appear in Seller Center immediately as pending.

7.1 When money becomes claimable

Earnings sitting on an order that is cancelled, refunded or returned are reversed at any point before they are paid, so a delivered order that later comes back does not leave you paid for a sale that did not happen.

7.2 Requesting a payout

Once earnings are approved they show as your available balance. Request a withdrawal from Seller Center for any amount up to that balance. Payment is made by transfer to the payout account you have registered with us — a bank account or mobile wallet. There is no card or payment-gateway payout, so keep your registered details correct and in your own or your business's name; we are not responsible for money sent to details you entered incorrectly.

Requests are reviewed and paid manually by our finance team. The Platform does not currently impose a minimum withdrawal amount or restrict withdrawals to a fixed day of the week. If we introduce a payout day or a minimum, we will tell sellers before it takes effect.

7.3 Holds, reserves & set-off

To protect Buyers and the Platform, Arbsbuy Pakistan may hold, delay, reserve or set off amounts from your balance or payouts where there is suspected fraud, an open dispute, excessive returns or complaints, a chargeback, or a breach of this Agreement. We may deduct refunds, chargebacks, return shipping costs, the fees in Section 6, and any penalties you owe. Where your balance is insufficient, you remain liable for the shortfall and agree to repay it on demand.

When money becomes withdrawable

Earnings on an Order stay pending until the Order has been delivered and the return window has closed. Today an earning is approved 10 days after delivery. For a new store this is longer: until your first three payouts have been paid, earnings are held for 14 days after delivery. Earnings on cancelled, refunded or returned Orders are reversed and never become withdrawable. The minimum withdrawal is Rs 1,000, and the payout run is weekly on Friday. These figures are settings the owner can change; the current values are always shown in your Seller Center, which is the authority if this page and the dashboard ever disagree.

8Taxes

This section sets out every tax that touches your sales on Arbsbuy Pakistan: what is deducted, who deducts it, the current rate and who pays it to the government. Rates follow the law in force on the order date. The rates below are the current ones. The rates applied to your account are always shown in your Seller Center, and if this page and Seller Center ever differ, Seller Center prevails.

8.1 Sales tax on our commission

Our commission is a service. Provincial sales tax on services (SRB, PRA or ICT) can only be charged once our company is registered with that authority. We are not registered yet, so no sales tax is charged on our commission at present. If we register in future, we will tell you in Seller Center before any such tax is charged, and it will apply only to orders placed after that date.

8.2 Income tax withheld on your sales

Under section 6A of the Income Tax Ordinance, 2001 and FBR Circular 02 of 2025-26, the courier (for Cash on Delivery) or the bank / payment company (for online payments) cuts income tax from the sale money before it reaches us and pays it to FBR in your name. Arbsbuy Pakistan does not deduct this tax itself. It is a final tax on your income from these online sales. The current rates are:

• 2% on Cash on Delivery and 1% on online payments if you are on FBR’s Active Taxpayers List (ATL).
• Double (4% / 2%) if you are not on the ATL. This also applies if we do not have your filer status.

This tax is deposited with FBR in your name and against your NTN. The courier keeps it out of the Cash on Delivery money it sends us, so we take exactly the same amount from your earnings on that order. These are your taxes. You can use the tax certificate in your own tax return.

8.3 Sales tax withheld on goods

Under the Sales Tax Act, 1990 and SRO 1429(I)/2025 (digitally ordered goods), the courier or the bank / payment company also cuts sales tax. It is currently 2% on Cash on Delivery and 1% on online payments. It is paid to FBR in your name, and we take exactly the same amount from your earnings on that order.

8.4 What the withholding is calculated on

Both withholdings in 8.2 and 8.3 are calculated on the amount the courier or payment company actually collects for the order. That amount is after discounts, includes the delivery charge and excludes any part the buyer paid from their store wallet. In an order with several sellers, the withheld amount is split between the sellers in proportion to the value of each seller’s items.

8.5 Sales tax on seller fees

Paid seller plans, promoted listings and featured placements are services too. As in 8.1, no provincial sales tax is charged on them at present, because our company is not yet registered with a provincial authority. You pay the listed fee only. If this changes, we will tell you in Seller Center first, and the tax will always be shown as a separate line.

8.6 Your own tax obligations

FBR requires every seller on an online marketplace to be registered, with an NTN and, where applicable, a sales tax registration (STRN). Arbsbuy Pakistan must file monthly statements with FBR listing its sellers and their sales. Since 1 July 2025, online marketplaces and couriers may not serve sellers who have no NTN. You must therefore keep your NTN, STRN and filer (ATL) status up to date in Store Settings. NTN registration is free at FBR IRIS. If your NTN is not verified by the deadline shown in Seller Center, your products are switched off (never deleted) until it is verified.

You remain responsible for your own annual income tax return and for any other tax on your business. The amounts withheld under 8.2 and 8.3 are credits toward that tax.

8.7 Where you can see every deduction

For each order, Seller Center → Earnings shows the commission, any sales tax on the commission (none at present), the income tax withheld, the sales tax withheld, any delivery shortfall and your net amount. You can download statements for your tax filing.

8.8 Our own income tax

Arbsbuy Pakistan pays its own income tax on its own income. That tax is never charged to sellers or buyers.

8.9 Worked example

A Rs 10,000 Cash on Delivery sale by a seller on the ATL (filer) and on the Free plan (7% commission):

• Sale amount collected: Rs 10,000
• Commission (7%): − Rs 700
• Income tax cut by the courier and paid to FBR in your name (2%): − Rs 200
• Sales tax cut by the courier and paid to FBR in your name (2%): − Rs 200
• You receive: Rs 8,900, before any delivery shortfall

The Rs 200 income tax and the Rs 200 sales tax are deposited with FBR against your NTN, so they count toward your own tax. They are not charges kept by Arbsbuy Pakistan.

9Order Fulfilment & Shipping

You must accept and fulfil valid orders promptly, package items securely, and dispatch within the timeframe stated on your listing. You must keep stock accurate to avoid cancellations, hand over parcels to the assigned courier on time, and provide tracking information. Repeated late dispatch, cancellations or fake stock may affect your performance standing and payouts. Please follow our Shipping Policy.

Pickup address — your duty

You must keep a complete pickup / dispatch address on your store settings: a contact name, a contact phone, the full address and the city. A courier cannot collect from a half-filled address, so an incomplete pickup address counts as being unable to fulfil, and your store is shown as incomplete until you finish it.

48-hour dispatch SLA

You must hand every Order to the courier and mark it shipped within 48 hours of the Order being placed. The clock starts when the Buyer places the Order, not when you open it. On a Bank Transfer Order the clock only counts once we have marked the payment received — you must never ship an unpaid prepaid Order. You are warned before the deadline; missing it is recorded as a late-dispatch strike against your store and counts against your account health. Arbsbuy Pakistan may switch on automatic cancellation of Orders left undespatched past the deadline; you will be told before that is turned on.

Packing proof

When you mark an Order shipped you may attach packing proof: up to four photos (JPG, PNG or WebP, 8 MB each) or one short video (MP4 or WebM, up to 25 MB) of the sealed parcel with the order number visible — photos or a video, not both. These files are stored privately by Arbsbuy Pakistan and are not published on the storefront. They are the strongest defence you have against an "empty parcel", "wrong item" or "never arrived" claim: in a dispute they are weighed against the Buyer's evidence, and a Seller with no proof is far more likely to lose the claim and carry the refund. Arbsbuy Pakistan may make packing proof compulsory before an Order can be marked shipped; when that switch is on the ship form will not accept the Order without it.

Account health

Your store carries a rolling 90-day account-health score out of 100, visible in your Seller Center. It is built from on-time dispatch (30), Seller cancellations (20), returns (15), disputes (15), buyer ratings (10) and message response (10). A measure with no data is left out rather than assumed good or bad, and a store with fewer than five Orders in the window is simply shown as a New seller with no tier. Tiers are Excellent (90+), Good (75+), Needs attention (55+) and At risk; on-time dispatch below 80% or Seller cancellations at 10% or more puts a store At risk whatever the total. Consequences — losing promoted placement, and ultimately suspension after a sustained period at risk — never run on a store with fewer than ten Orders in the window.

10Returns, Refunds & Cancellations

You must honour valid returns, refunds and cancellations in line with our Refund & Returns Policy. Where a return results from your error or a misrepresented item, you bear the return shipping cost, and Arbsbuy Pakistan may deduct the refunded amount from your balance. You must resolve approved refunds and replacements promptly.

11Promotions, Campaigns & Vouchers

Arbsbuy Pakistan may run marketing campaigns, sales events, vouchers and discount codes to grow buyer demand. Participation in seller-funded promotions is generally optional and you control the discounts you offer; where you opt in, you fund the discount you set. Arbsbuy Pakistan may also run platform-funded promotions. Unless stated otherwise, Commission is calculated on the actual price paid by the Buyer after discounts. You must honour the promotional price shown to the Buyer and may not artificially inflate prices before a sale.

12Gems, Minerals & High-Value Items

If you sell gemstones, minerals or other high-value items, you must comply with the special protections in Section 11 of our Terms & Conditions. In particular, you must:

• Accurately disclose type, weight, colour, clarity, origin (where claimed) and all treatments.
• Provide a genuine laboratory certificate of authenticity for higher-value stones (e.g. GIA, IGI, AGL, or a recognised Pakistani lab).
• Never sell synthetic or treated stones as natural, or provide forged or non-matching certificates.
• Use tamper-evident packaging and insured, signature-on-delivery shipping for high-value Gems.

13Product Safety, Warranties & Recalls

You warrant that every Product is safe, lawful and compliant with applicable Pakistani product-safety, labelling and regulatory requirements, and is fit for its described purpose. You are responsible for honouring any manufacturer or seller warranty you offer. If a Product is found to be unsafe, defective or subject to a recall, you must act promptly to stop sales, notify Arbsbuy Pakistan, and cooperate with any recall, repair, replacement or refund. You are liable for any harm, loss or claim caused by your Products.

14Prohibited Seller Conduct

You must not: sell counterfeit, fake, stolen, expired, unsafe, illegal or prohibited items; misrepresent products, prices or origin; post fake reviews or manipulate ratings; place fake orders or transact off-platform to avoid fees; harass buyers; or attempt to defraud buyers or Arbsbuy. Breaches may result in listing removal, payout holds, account termination, liability for losses, and referral to the authorities.

15Intellectual Property & Licence

You retain ownership of your brand, content and product images. You grant Arbsbuy Pakistan a non-exclusive, royalty-free, worldwide licence to host, display, reproduce and promote your listings, store name, trademarks and content for the purpose of operating, marketing and improving the Platform. You must hold all rights necessary to grant this licence.

16Ratings, Reviews & Performance

Buyers may rate and review your products and service. You may not post fake reviews or pressure buyers to change honest feedback. Arbsbuy Pakistan may measure your performance (such as dispatch time, cancellations, return rate and rating) and may reward strong Sellers or restrict, suspend or remove Sellers who consistently underperform or harm the buyer experience.

17Confidentiality & Data Protection

You will receive buyer information (such as name, address and phone) solely to fulfil orders and provide support. You must keep it confidential, use it only for that purpose, comply with our Privacy Policy and applicable law, and never sell, market to or misuse buyer data. You must not contact buyers for purposes unrelated to their orders.

18Suspension & Termination

You may close your store at any time after fulfilling outstanding orders and obligations. Arbsbuy Pakistan may suspend, restrict or terminate your account, with or without notice, for breach of this Agreement, fraud or prohibited conduct, or to protect buyers, other sellers or the Platform. On termination, your right to sell ends, outstanding obligations survive, and any balance is settled after deducting refunds, chargebacks and amounts owed, subject to dispute and fraud checks.

19Disclaimers & Limitation of Liability

The Platform is provided on an "as is" and "as available" basis. As an intermediary, Arbsbuy Pakistan is not a party to the sale contract between you and the Buyer and is not liable for your products or conduct. To the maximum extent permitted by law, Arbsbuy Pakistan's total liability to you for any claim shall not exceed the total Commission actually received by Arbsbuy Pakistan on the order giving rise to the claim, and Arbsbuy Pakistan shall not be liable for any indirect, incidental or consequential loss, or loss of profits or goodwill.

20Indemnification

You agree to indemnify, defend and hold harmless Arbsbuy Pakistan and its directors, employees, agents and partners from and against any and all claims, losses, liabilities, damages, fines, costs and expenses (including reasonable legal fees) arising out of or relating to your products, listings, content, conduct, taxes, breach of this Agreement or any law, or any dispute between you and a Buyer or third party.

21Dispute Resolution

Disputes between you and a Buyer, or between you and Arbsbuy Pakistan, are handled in good faith under our Dispute Resolution Policy — starting with our support team and, where needed, Arbsbuy Pakistan mediation based on the evidence from both sides. For gem and high-value authenticity disputes, an independent gemological laboratory may decide the matter. Any dispute that cannot be resolved this way is subject to the Governing Law and Jurisdiction section below.

22Force Majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, floods, pandemics, strikes, internet or power outages, courier failures, government action or civil unrest.

23Notices

Arbsbuy Pakistan may give you notices through your Seller Center, by email or SMS to your registered contact details, or by posting on the Platform — and such notices are deemed received when sent or posted. You must keep your contact details current. You may send notices to us at support@arbsbuy.pk or to our registered office in Larkana, Sindh.

24Changes to this Agreement

Arbsbuy Pakistan may update this Agreement from time to time to reflect changes in our services or legal requirements. We will post the updated Agreement with a revised date and, for significant changes, notify Sellers. Your continued use of the Platform after changes take effect constitutes acceptance.

25General Provisions

• Entire agreement: this Agreement and the policies it references are the entire agreement between you and Arbsbuy Pakistan regarding selling on the Platform.
• Severability: if any provision is held invalid, the remaining provisions continue in full force.
• No waiver: our failure to enforce a right is not a waiver of it.
• Assignment: you may not assign this Agreement without our consent; Arbsbuy Pakistan may assign it.
• Survival: clauses that by their nature should survive termination — including commission settlement, liability, indemnity, confidentiality, governing law and jurisdiction — continue to apply.
• Language: this Agreement is written in English, which prevails over any translation.
